SITE TERMS
Welcome to Behind the Screens, a website offered by Viacom Inc. (“Viacom,” “us” “we”) to employees of Viacom and its subsidiaries, located at behindthescreens.viacom.com (the “Site”)! Viacom has developed this Site so that certain employees can submit their own original creative works (i.e., videos, artwork, music, poetry, photographs and more) that Viacom may display on the screens in certain Viacom offices (the “Screens”). Viacom has developed this program to promote artistic expression, communication, innovation and inclusiveness company-wide. Before you can begin submitting such content, you should keep in mind the terms and conditions described in this agreement (these “Site Terms”).
1. We are offering this Site in connection with your employment. Therefore, please remember that the all Viacom policies apply to your use of the Site, including, but not limited to, the Viacom Global Business Practices Statement (the “VGBPS”), the Viacom Information Security Policies at “VISP” and, collectively with the VGBPS and all other Viacom policies applicable to your employment, the “Policies”). While we do not highlight all relevant portions of the Policies, some examples of how the Policies apply to the Site are described in these Site Terms.
2. As described in the VGBPS, please remember that any communications and content on the Site are for the use and enjoyment of Viacom and certain of its employees only, and you cannot use, post or distribute any such communications or content outside the Site.
3. Remember this is a Viacom-owned site. You acknowledge that you have taken this opportunity to disclose any communications and content (including all ideas embodied therein) submitted by you (the “Materials”), you disclose the Materials voluntarily and on an unsolicited basis, and the submission of Materials through the Site is not a submission to Viacom for consideration. However, you cannot and will not assume or infer from the fact that Viacom presents this opportunity for you to submit Materials on the Site that Viacom regards your Materials, or any part thereof, as novel, valuable or usable. You recognize that Viacom and other persons, such as other Viacom employees or other personnel, may have developed and/or submitted to Viacom or to others or made public, or may hereafter originate and submit or make public, similar or identical material which Viacom shall have the right to use, and you understand that you will neither be entitled to any compensation because of the Materials or Viacom’s use of such other similar or identical material nor have any claim against Viacom in connection such use.
4. This Site is not to be used for submitting any content related to your employment (“Company Materials”), and “Materials” does not include any Company Materials.
5. You represent and warrant that the Materials are original to and owned solely by you and that you are not posting any Materials not original to and not owned solely by you. By posting the Materials on the Site, subject to Section 4 and Section 5 of this agreement, you continue to own the Materials, and you grant to Viacom a non-exclusive, royalty-free license to use, copy, display and modify (for formatting purposes and otherwise as described in Section 7 and other sections of these Site Terms) the Materials in any manner or media, including on the Screens, in Viacom’s marketing, advertising and/or promotional materials relating to the Screens, Viacom, its subsidiaries and affiliates and their respective products, services and/or programming and on any digital property of Viacom, its subsidiaries and/or affiliates, including their respective social media accounts. If you wish Viacom to remove any Materials from the Screens, you may request removal of any Materials by sending an email to TheScreens@viacom.com, and such Materials will be removed in a timely manner and, upon removal, Viacom’s limited license to post such Materials to the Screens will terminate. Notwithstanding the foregoing, you acknowledge and agree that the Materials may remain perpetually in any Viacom marketing, advertising and/or promotional materials unless otherwise agreed.
6. As described in the VGBPS and the VIPS, Viacom has the right to monitor, intercept, remove and/or edit all communications and content on the Site, including, but not limited to, the Materials, and also has the right to disclose such communications and content and an employee’s participation to any person or entity at any time, without further consent or notice.
7. Even though the Site is only made available to certain Viacom employees, please do not submit through the Site any trade secrets, proprietary, privileged or confidential company information, or sensitive or confidential personal information of Viacom, other companies, yourself, other employees or other persons and please remember that confidential information you have access to as an employee must remain confidential and you must treat it as such. Remember that just because you may know about a future Viacom initiative does not mean everyone you work with knows about that Viacom initiative. For example, just because you know about a show in development does not mean that all employees of Viacom know that the show is in development.
8. As described in the Policies, please be respectful of fellow users and do not use the Site to submit any offensive, inappropriate or other prohibited Materials. Examples of offensive, inappropriate and other prohibited Materials may be found in the VGBPS. You can report any offensive, inappropriate or other prohibited communications or content by sending an email to TheScreens@viacom.com.
9. As described in the VBGPS and VIPS, we take protection of intellectual property rights (such as copyrights), both our own and others, very seriously. We expect all of our employees to share that respect and vigilance, and you cannot use the Site to submit Materials owned by others. If you believe that the Screens contain materials that infringe copyrights, you can report those materials by following the procedures set forth in the Copyright Compliance Policy which can be found at the bottom of each page of the Site.
10. In addition to all of the above, as described in the VGBPS and VIPS, you must not use the Site to otherwise engage in or contribute to any illegal activity or activity that violates others’ rights or to transmit or distribute Materials that contain malicious code, such as viruses, timebombs, cancelbots, worms, trojan horses, spyware, or other potentially harmful programs or other material or information.
11. Viacom has the right to terminate your access to the Site at any time for any reason, including, but not limited to, for any violation of these Site Terms. Viacom also has the right to stop offering this Site and the Screens at any time.
By submitting Materials to the Site, you agree to and comply with these Site Terms in order to use the Site. These Site Term were last modified on the date indicated above and is effective immediately.
